BHD. The signing of a Memorandum of Understanding (MOU) signifies MNDR’s intention to acquire project companies that are in the process of developing two AI-optimized data centers in Sarawak, Malaysia.

The Expansion Plan

The heart of this expansion lies in two high-density data centers: one with a capacity of 25MW, projected for completion by the third quarter of 2027, and another much larger facility boasting 150MW, set to be operational by the end of 2028. These data centers are more than mere infrastructure; they are pivotal in facilitating MNDR’s major AI-driven health and technology ecosystem expansion.

Financials Behind the Deal

As part of the agreement, MNDR anticipates compensating PPG with assets valued at a substantial US$120 million. This innovative approach includes issuing up to three million Class A ordinary shares of the company, valued at US$40 each—echoing over 13 times their market value of US$3.04 as of the previous trading day. This arrangement strategically positions MNDR not merely for growth, but for structural efficiency in financial modeling.

Sharing insights on this strategic venture, Co-CEO Dr. Siaw Tung Yeng articulated, "This acquisition, we believe, will provide the linchpin for our global expansion and scaling of our proprietary AI-powered health and technology ecosystem." He emphasized that operational costs for high-density workloads would significantly decline, courtesy of the low-cost green energy these data centers will harness. This vision promises to optimize the platform’s scalability, ideally setting the stage for an enhanced user experience and robust service delivery.

New Services on the Horizon

Furthermore, the facilities are expected to facilitate the global rollout of two innovative services: a Token as a Service (TaaS) and an AI-Powered Healthcare Platform as a Service (APaaS). According to MNDR’s team, these new offerings could play a critical role in supporting ongoing digital transformations across Southeast Asia and Africa. As the demand for integrated healthcare solutions continues to surge, MNDR appears poised to emerge as a significant player in this evolving market landscape.

Regulatory Considerations

While the prospect of this acquisition shines brightly, it is important to note that the MOU remains subject to several customary conditions, including a thorough due diligence process, independent valuation, and regulatory approvals. In an effort to ensure successful project execution and local integration, the MOU stipulates that PPG will be responsible for obtaining all necessary licenses, permits, approvals, and land rights for the data centers’ development. Post-transaction, MNDR will retain majority voting control, with PPG’s founders participating at the board level for transitional continuity.
